Terms of Service

Chapter 1: About These Terms of Service

1. Service Provider and Scope

"ViralArc AI" (the "Service") is developed and operated by the ViralArc AI team (Kani Co., Ltd.). It provides AI-powered social media automation solutions, including all related websites, applications, APIs, digital platforms, and associated features. The content and functionality of the Service may be added to, modified, suspended, or terminated based on actual operational needs, without separate individual notice.

2. Definition of Users

Any individual or organization using the Service, regardless of whether registration has been completed, is considered a "User." Users are categorized as follows:

  • Visitor Users: Natural persons or legal entities who have not registered an account and may only browse the Service's public pages and feature descriptions.
  • Individual Registered Users: Natural persons who register and create a personal account and may use the full range of functions, including social account linking, automation features, and data analytics.
  • Institutional Registered Users: Legal entities or organizations that register accounts under an organizational name and may use the Service's advanced functions.

3. Acceptance of Terms and Privacy Policy

Registered Users must click to agree to the Terms of Service and Privacy Policy. Accordingly, when a User registers, logs in, links a social account, or uses any feature of the Service, the User is deemed to have fully read, understood, and agreed to comply with these Terms of Service and any other rules announced on the platform, including but not limited to the Privacy Policy. If a User does not agree to these Terms or the Privacy Policy, the User must immediately stop using the Service and may not assert any rights on the ground that the Terms or Privacy Policy were not read or agreed to.

4. Defined Terms and Service Content

  • ViralArc AI: A digital platform for social media creators and businesses that provides AI-powered automated replies, content scheduling, data analytics, keyword tracking, and community operation tools.
  • The Service: All functions and resources available to Users through the ViralArc AI platform, including but not limited to:
    • social media account linking and management, including Threads and Instagram;
    • AI auto-reply and smart reply suggestion features;
    • post scheduling and automated publishing;
    • keyword tracking and topic monitoring;
    • social data analytics and insight reports;
    • job marketplace publishing and task acceptance features;
    • credit system and subscription plan management;
    • platform notifications, recommendation messages, and system interaction features;
    • and any other related functions that the team may continue to add, modify, or remove.
  • User Content: All data and information uploaded, posted, transmitted, configured, or generated by a User through the platform or the Service, including but not limited to reply content, posts, automation settings, keyword lists, and related configurations.
  • Third-Party Platforms: External social media platforms integrated with the Service, including but not limited to Meta's Threads, Instagram, and Facebook.
  • Credits: Virtual metering units used within the Service to measure usage quotas for certain functions. Users may obtain them through subscription plans or separate purchases. Credits are not user-owned assets on the platform; they only represent the upper limit of computing capacity provided by the purchased services on the platform.

5. Supplemental Notes

  • Users shall comply with all applicable laws and may not use the Service to engage in any illegal, infringing, or otherwise improper conduct that violates public order or good morals.
  • The Service reserves the right to modify these Terms at any time and will announce such changes on the platform. Continued use of the Service after such announcement constitutes acceptance of the revised Terms.
  • Users bear legal responsibility for any content generated or published through the Service.

Chapter 2: Rules Governing User Conduct

  1. When using the Service, Users shall comply with the laws and regulations of the Republic of China (Taiwan), the laws of the User's place of residence, and these Terms of Service. Users may not use the Service for any illegal or improper purpose, including but not limited to:
  • infringing the intellectual property rights of others, including but not limited to copyrights, patent rights, and trademark rights;
  • infringing the privacy rights of others or violating personal data protection laws and regulations;
  • using the Service's automation features to spread false, misleading, inaccurate, or spam messages;
  • publishing or transmitting defamatory, obscene, abusive, threatening, harassing, or otherwise rights-infringing content;
  • attempting by technical means to damage, intrude upon, interfere with, or affect the normal operation of the Service;
  • conducting mass automated operations through the Service without the team's consent in order to circumvent the usage limits of third-party platforms;
  • transferring, selling, or sharing accounts, credits, or subscription benefits in any form; or
  • using the Service's AI functions to generate content that violates the community rules of third-party platforms.
  1. Users warrant that all content they publish, schedule, or generate automatically through the Service is lawful and does not contain any false, misleading, or otherwise unlawful information or any information that violates these Terms, third-party platform rules, or applicable laws. Users bear sole legal responsibility for all such content, and the team assumes no joint or several liability.

  2. Users agree not to use the Service in any way for commercial resale, account transfer, or any form of illegal transaction.

  3. If a User violates the foregoing rules, the team may suspend or terminate the User's account at any time and may report the matter to competent authorities or law enforcement agencies depending on the severity of the circumstances.

Chapter 3: Third-Party Platform Integration and Responsibility

1. Authorization and Linking

When a User links a third-party platform account, including but not limited to Threads, Instagram, or Facebook, through the Service, the User represents that the User has read, understood, and agreed to that third-party platform's terms of use, privacy policy, and developer policies, and authorizes the Service to access the User's third-party platform account data within the scope of the User's authorization.

2. Scope of Data Access

The Service will access third-party platform data only within the scope expressly authorized by the User, including but not limited to:

  • basic account information and profile data;
  • post content, comments, and interaction data;
  • follower and following metrics and insight reports; and
  • publishing posts or replying to comments on behalf of the User.

The Service's access to and use of the foregoing data shall also comply with the applicable rules, policies, and terms of service of each relevant third-party platform.

3. Restrictions and Changes on Third-Party Platforms

  • The availability of the Service's functions depends on the openness and policies of third-party platform APIs. If a third-party platform modifies its API, policies, or terms of service, some functions of the Service may become restricted or suspended, and the team shall bear no responsibility for such limitations.
  • Users shall independently comply with the usage rules of third-party platforms. If a User's account is restricted, suspended, blocked, or otherwise penalized due to a violation of third-party platform rules, the team shall bear no responsibility.

4. Revocation of Authorization

Users may revoke authorization at any time through the Service or through the settings of the applicable third-party platform. After authorization is revoked, the Service will cease accessing data from that third-party platform account, except for data that has already been retained or processed in accordance with law.

Chapter 4: Rules Governing Use of AI Features

1. Nature of AI-Generated Content

Content generated by the Service's AI features, including but not limited to automated replies, reply suggestions, and automated topic-tracking comment features, is generated automatically by artificial intelligence models. Users acknowledge and understand that:

  • AI-generated content may be inaccurate, incomplete, or inappropriate, and Users should review and confirm it before publication.
  • The team does not guarantee and bears no responsibility for the accuracy, appropriateness, legality, or consequences of AI-generated content.
  • Users bear full responsibility for any AI-generated content they choose to publish.

If a User chooses to enable fully automated, non-reviewed features, the User acknowledges the risks associated with such fully automated, non-reviewed AI functions and agrees to bear any responsibility arising from the content generated by the AI.

2. Usage Restrictions

Users may not use the Service's AI features to:

  • generate illegal, discriminatory, hateful, violent, or pornographic content;
  • generate content intended to deceive, defraud, or mislead others;
  • generate spam at scale or content that interferes with the normal use of social platforms by others; or
  • attempt to bypass AI safety mechanisms or extract the underlying logic of the models.

3. Credit Consumption

Use of AI features will consume corresponding credits based on the type of feature and the amount of usage. The specific consumption rules are subject to the descriptions displayed within the platform. Once consumed, credits are non-refundable, even if the AI-generated result does not meet the User's expectations.

Chapter 5: License to User Content and Intellectual Property

  1. Any content uploaded, configured, submitted, or otherwise provided by a User through the Service remains the intellectual property of that User. However, the User agrees to grant the team and its affiliates a worldwide, royalty-free, non-exclusive, sublicensable license to use such content for the following purposes:
  • storing, copying, and processing the content in order to provide, operate, and improve the Service; and
  • using User Content in anonymized or de-identified form to improve and train AI models.
  1. Users agree that licensed content may not contain any proprietary rights of third parties or sensitive information. Otherwise, the team may remove such content immediately, and the User shall be solely responsible for any resulting disputes or damages.

  2. All interface designs, code, trademarks, logos, and other intellectual property on the Service platform are owned by the team or its licensors. Unless otherwise indicated, Users may not reproduce, modify, distribute, or otherwise use them without authorization.

Chapter 6: Account Management and Suspension Rules

  1. Users shall properly safeguard their account login credentials. Any damage arising from account theft or unauthorized use shall be borne by the User.

  2. If the team discovers conduct by a User that harms the platform, it may immediately suspend or terminate the User's right to use the account without prior notice. Such conduct includes, but is not limited to:

  • violating these Terms of Service or applicable laws and regulations;
  • infringing the rights of others, publishing illegal content, or maliciously disrupting the Service;
  • using the Service to send spam or violate third-party platform rules;
  • repeated violations without correction after being required by the team to do so; or
  • any other circumstances sufficient to affect the normal operation or security of the Service.
  1. Once an account is terminated, the User's remaining credits and subscription benefits shall simultaneously expire, and the team shall bear no responsibility for any compensation.

  2. Users may contact the team at any time to request deletion of their account and any third-party data associated with that account. However, this does not include data generated when the User separately authorizes a third-party service, for example by speaking on Threads, and that third-party service in turn authorizes the Service, for example when Meta grants the Service API access permissions. After account deletion, the relevant data will be handled in accordance with the Privacy Policy.

Chapter 7: Disclaimer

  1. The team does not guarantee that the Service will fully meet the User's expectations, nor does it guarantee that the Service will be continuously uninterrupted, secure, timely, or error-free. Users shall bear the risks of using the Service.

  2. The team makes no guarantee and assumes no review obligation for content generated or published by Users through the Service.

  3. The availability of the Service's functions is affected by third-party platform policies. If policy changes, API changes, or system failures of third-party platforms cause limitations or interruptions to the Service, the team shall bear no responsibility.

  4. The team makes no express or implied warranty regarding any of the following:

  • that use of the Service will result in specific follower growth, increased engagement, or social media operating outcomes;
  • that AI-generated content will necessarily be accurate, appropriate, or consistent with the User's expectations;
  • that the execution results of automation features will necessarily conform to the User's settings and expectations; or
  • that the Service will remain fully compatible with all latest versions and functions of third-party platforms.
  1. Users agree that if any third party asserts rights against the team or files claims or legal actions arising from content or conduct published by the User through the Service, the User shall bear full responsibility and shall indemnify the team for all resulting damages, including but not limited to attorneys' fees and litigation costs.

Chapter 8: Fees and Refund Policy

1. Fee Structure and Disclosure Principles

Certain features of the Service are subject to fees based on their nature and scope of use. Payment methods may include, but are not limited to, credit cards and other electronic payment tools. All fee items, rates, and payment terms will be clearly disclosed on the subscription plan page or payment page.

2. Subscription Plans

  • Users may choose from the subscription plans offered by the Service, and during the subscription period Users will receive the corresponding credit quotas and feature permissions according to the selected plan.
  • Subscription plans will automatically renew based on the cycle selected by the User, and the User may cancel automatic renewal at any time in account settings.
  • After cancellation of automatic renewal, the User may continue to use the Service until the end of the current subscription period.

3. Credit Policy

  • The validity period of credits is governed by the applicable subscription plan.
  • For separately purchased credits, the validity period and usage rules are subject to the information displayed on the purchase page.

4. Refund Policy

  • Subscription fees are generally non-refundable once payment is completed, unless the Service becomes completely unusable due to reasons attributable to the platform.
  • If payment anomalies occur due to system failures or platform-side causes, such as duplicate charges, Users may apply for a refund from the team. Refunds will be issued after verification.
  • Once purchased or obtained, credits are non-refundable in cash regardless of whether they have been used.

Chapter 9: Amendments and Governing Law

  1. The team has the right to amend these Terms of Service at any time and will announce such amendments on the platform or notify Users by email. The amended terms become effective on the date of announcement or notification.

  2. If a User continues using the Service after amendments to the Terms, such continued use constitutes acceptance of the amended terms.

  3. The interpretation and application of these Terms of Service shall be governed by the laws of the Republic of China (Taiwan), and the Taipei District Court in Taiwan shall be the court of first instance with jurisdiction.

Chapter 10: Miscellaneous

  1. If any provision of these Terms is held invalid or unenforceable, the validity of the remaining provisions shall not be affected.

  2. The team's failure to exercise, or delay in exercising, any right granted under these Terms shall not constitute a waiver of that right.
